1. Overview
AgentCTX is an open-source software project created by Ryan Haver. These terms govern your use of the AgentCTX website (agentctx.ai) and the AgentCTX software.
2. Licensing
AgentCTX uses a dual-licensing model:
- Apache 2.0 — Core gateway, CTX grammar, CLI, all seven context planes, and community features. Free forever.
- BSL 1.1 — Enterprise features including multi-tenant isolation, RBAC, audit logging, and SLA guarantees. Converts to Apache 2.0 after the change date specified in the license.

3. Acceptable Use
You may use AgentCTX for any lawful purpose. You agree not to:
- Misrepresent the origin of the software
- Use AgentCTX trademarks without permission
- Attempt to circumvent licensing restrictions on enterprise features
- Use the service to generate, store, or distribute illegal content
- Attempt to access other tenants' data or namespaces
- Use automated tools to abuse API rate limits or service quotas
- Resell or redistribute API keys or access credentials
4. Website Content
The content on this website (documentation, benchmarks, marketing materials) is provided for informational purposes. While we strive for accuracy, performance figures may vary based on your specific use case, model provider, and configuration.
4a. Subscription Terms
Paid subscriptions (Pro, Team, Enterprise) are billed monthly through our payment partner, Polar.sh, which acts as the Merchant of Record for all transactions.
- Cancellation: You may cancel your subscription at any time through the Polar customer portal. Cancellation takes effect at the end of the current billing period — you retain access until then.
- Refunds: Refund requests are processed through Polar.sh in accordance with their refund policy. Contact billing@agentctx.ai for assistance.
- Downgrades: Upon cancellation or non-payment, your account is downgraded to the Free tier after a 30-day retention period during which your data remains accessible.
- Data retention: After the 30-day retention period following cancellation, your cloud-stored data (agent memory, knowledge, tenant namespace) is permanently deleted. Local data is never affected.
- Past-due accounts: If payment fails, you have 7 days to update your payment method before your account is downgraded to Free.
5. No Warranty
AgentCTX is provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. See the applicable license for full warranty disclaimers.
6. Limitation of Liability
In no event shall the authors or copyright holders be liable for any claim, damages, or other liability arising from the use of the software or this website.
7. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via the website and the project repository. Continued use of the software or website after changes constitutes acceptance of the revised terms.
